Funding Account Authorization

1.Parties; authority. This Authorization is given by the business identified on the Ferry account ("Customer") to Ferry Pay Inc. ("Ferry"). The person accepting this Authorization represents that they are authorized to give it on Customer's behalf and to bind Customer to its terms.

2.Linked Account. Customer designates the deposit account linked in the Ferry dashboard ("Linked Account") for the entries described in Section 3. Customer represents that the Linked Account is a business account established by an organization, or by an individual, primarily for commercial purposes and not for personal, family, or household purposes, and that Customer's bank maintains the account as a business account. Customer will not link a personal account. Ferry may decline or unlink any account that does not meet this description.

3.Authorized debits and credits. Customer authorizes Ferry to initiate ACH debit or credit entries to the Linked Account, and to have Customer’s bank process them, as follows:

(a)One-Time Debits. When Customer requests a deposit to the Funding Account through the dashboard, in the amount Customer enters, on the date requested, or if requested on a day that is not a Business Day, on the next Business Day.

(b)Automatic Debits. After Ferry sends Payouts, in an amount equal to the total successful Payouts sent since the last replenishment debit, initiated on the Business Day the Payouts are sent.

(c)Credit Entries. Ferry may initiate credit entries to the Linked Account to refund or correct a debit, and to return any Funding Account balance to Customer when the Funding Account is closed.

(d)Return Fee. If a payment is returned unpaid, Ferry will collect a Returned Payment Fee of $2.50.

4.Varying amounts and dates. Replenishment amounts will vary with Payout activity. Ferry is not required to give advance notice of the amount or date of any debit under Section 3(b) beyond the activity log and the transaction-day email. Debits may settle on any Business Day.

5.Nacha Operating Rules; entry type. Customer agrees to be bound by the Nacha Operating Rules as in effect at the time of each entry. Entries will be transmitted as CCD (corporate) entries, except a return fee which will be transmitted as a PPD.

6.Funds; returned entries. Customer will keep sufficient available funds in the Linked Account to cover each debit. If a debit is returned for insufficient or uncollected funds, Ferry may reinitiate it up to two times as the Nacha Operating Rules permit, and may suspend Payouts until the amount is collected. Ferry will not add the amount of a returned debit to a debit under Section 3(b). Any return-payment fee under the services agreement is collected through the next debit under Section 3(b). A returned debit does not discharge Customer's obligation to pay the amount.

7.Errors and disputes. Customer will notify Ferry at help@useferry.com of any debit it believes is erroneous or unauthorized within 30 days after the debit posts to the Linked Account. Any claim against Ferry regarding a debit not disputed within that period is waived. This does not limit Customer's rights against its bank, which may be limited under the Nacha Operating Rules after the second banking day following settlement.

8.Revocation. Customer may revoke this Authorization by unlinking the account in the dashboard or by written notice to help@useferry.com Revocation is effective when Ferry receives it. Ferry will stop sending Payouts on receipt, and may still debit the Linked Account under Section 3(b) for Payouts sent, and fees accrued, before receipt. Revocation does not discharge amounts Customer owes. Ferry will treat a stop-payment order or a second consecutive unauthorized-entry return from Customer's bank as revocation.

9.Term. This Authorization takes effect on acceptance and continues until revoked under Section 8 or the Ferry account closes, and survives to collect amounts owed as of that date.

10.Definitions. "Business Day" means a day other than Saturday, Sunday, or a Federal Reserve holiday. "Payouts" means the tips paid to employees via a Ferry Payroll Card based on the tip calculations made in the Ferry Business Manager. ”Funding Account” means the account held by our partner bank opened and funded by you for the purpose of paying employees enrolled in the Ferry Payroll Card program the non-cash tips they earned.


Autorización de la Cuenta de Fondeo

1.Partes; autoridad. Esta Autorización la otorga la empresa identificada en la cuenta de Ferry ("Cliente") a Ferry Pay Inc. ("Ferry"). La persona que acepta esta Autorización declara que está autorizada para otorgarla en nombre del Cliente y para obligar al Cliente conforme a sus términos.

2.Cuenta Vinculada. El Cliente designa la cuenta de depósito vinculada en el panel de Ferry ("Cuenta Vinculada") para las entradas descritas en la Sección 3. El Cliente declara que la Cuenta Vinculada es una cuenta comercial establecida por una organización, o por una persona física, principalmente con fines comerciales y no con fines personales, familiares o domésticos, y que el banco del Cliente mantiene la cuenta como cuenta comercial. El Cliente no vinculará una cuenta personal. Ferry puede rechazar o desvincular cualquier cuenta que no cumpla con esta descripción.

3.Débitos y créditos autorizados. El Cliente autoriza a Ferry a iniciar entradas ACH de débito o de crédito en la Cuenta Vinculada, y a que el banco del Cliente las procese, de la siguiente manera:

(a)Débitos Únicos. Cuando el Cliente solicite un depósito en la Cuenta de Fondeo a través del panel, por el monto que el Cliente ingrese, en la fecha solicitada o, si se solicita en un día que no sea un Día Hábil, el siguiente Día Hábil.

(b)Débitos Automáticos. Después de que Ferry envíe Pagos, por un monto igual al total de los Pagos enviados con éxito desde el último débito de reposición, iniciado el Día Hábil en que se envíen los Pagos.

(c)Entradas de Crédito. Ferry puede iniciar entradas de crédito en la Cuenta Vinculada para reembolsar o corregir un débito, y para devolver al Cliente cualquier saldo de la Cuenta de Fondeo cuando se cierre la Cuenta de Fondeo.

(d)Cargo por Devolución. Si un pago se devuelve sin pagar, Ferry cobrará un Cargo por Pago Devuelto de $2.50.

4.Montos y fechas variables. Los montos de reposición variarán según la actividad de Pagos. Ferry no está obligado a notificar con anticipación el monto o la fecha de ningún débito conforme a la Sección 3(b), más allá del registro de actividad y el correo electrónico del día de la transacción. Los débitos pueden liquidarse en cualquier Día Hábil.

5.Reglas Operativas de Nacha; tipo de entrada. El Cliente acepta quedar obligado por las Reglas Operativas de Nacha vigentes en el momento de cada entrada. Las entradas se transmitirán como entradas CCD (corporativas), excepto un cargo por devolución, que se transmitirá como PPD.

6.Fondos; entradas devueltas. El Cliente mantendrá fondos disponibles suficientes en la Cuenta Vinculada para cubrir cada débito. Si un débito se devuelve por fondos insuficientes o no cobrados, Ferry puede volver a iniciarlo hasta dos veces, según lo permitan las Reglas Operativas de Nacha, y puede suspender los Pagos hasta que se cobre el monto. Ferry no sumará el monto de un débito devuelto a un débito conforme a la Sección 3(b). Cualquier cargo por pago devuelto previsto en el contrato de servicios se cobra mediante el siguiente débito conforme a la Sección 3(b). Un débito devuelto no libera al Cliente de su obligación de pagar el monto.

7.Errores y disputas. El Cliente notificará a Ferry en help@useferry.com cualquier débito que considere erróneo o no autorizado dentro de los 30 días posteriores a que el débito se registre en la Cuenta Vinculada. Se renuncia a cualquier reclamación contra Ferry relativa a un débito que no se haya disputado dentro de ese plazo. Esto no limita los derechos del Cliente frente a su banco, los cuales pueden quedar limitados conforme a las Reglas Operativas de Nacha después del segundo día bancario posterior a la liquidación.

8.Revocación. El Cliente puede revocar esta Autorización desvinculando la cuenta en el panel o mediante notificación por escrito a help@useferry.com La revocación surte efecto cuando Ferry la recibe. Ferry dejará de enviar Pagos al recibirla, y aún podrá debitar la Cuenta Vinculada conforme a la Sección 3(b) por los Pagos enviados, y los cargos devengados, antes de su recepción. La revocación no libera los montos que el Cliente adeude. Ferry tratará como revocación una orden de suspensión de pago o una segunda devolución consecutiva por entrada no autorizada proveniente del banco del Cliente.

9.Vigencia. Esta Autorización entra en vigor al ser aceptada y continúa hasta que sea revocada conforme a la Sección 8 o se cierre la cuenta de Ferry, y subsiste para cobrar los montos adeudados a esa fecha.

10.Definiciones. "Día Hábil" significa cualquier día distinto de sábado, domingo o un día festivo de la Reserva Federal. "Pagos" significa las propinas pagadas a los empleados mediante una Ferry Payroll Card con base en los cálculos de propinas realizados en Ferry Business Manager. ”Cuenta de Fondeo” significa la cuenta mantenida por nuestro banco asociado, abierta y fondeada por usted con el fin de pagar a los empleados inscritos en el programa Ferry Payroll Card las propinas no en efectivo que hayan ganado.
